Website: https://select.maksoob.com
Effective Date: October 19, 2026
1. Parties and Definitions
This Agreement is entered into between شركة الفضاء للمحتوى والتدريب الإلكتروني ذ.م.م, a limited liability company registered in the Hashemite Kingdom of Jordan under registration number 69417 and national establishment number 200196266 (the “Jordan Operator” or “Platform Operator”), and the approved seller (the “Seller”).
The Jordan Operator operates Maksoob Select at select.maksoob.com under the Maksoob brand.
Maksoob Group LLC, registered in Wyoming, USA, under entity number 2026-002024408, is a separate legal entity that may provide technology, administration, coordination, or related services under separate arrangements. It is not automatically a contracting party, payment guarantor, or jointly liable party under this Agreement.
2. Seller Registration and Verification
All Seller registrations are subject to prior approval.
Maksoob Select reserves the right, acting on legitimate commercial, security, compliance, and risk-management grounds, to:
Accept or reject Seller applications.
Request identification, business registrations, and licenses.
Verify bank accounts, beneficial ownership, and business information.
Request supplier invoices and proof of product origin.
Restrict product categories, quantities, or sales territories.
Suspend or terminate accounts where risks or violations arise.
Submitting an application does not guarantee approval.
3. Platform Right to Reject Products
Maksoob Select may inspect, approve, refuse, delist, restrict, or remove products before or after publication.
Reasons may include legal noncompliance, safety concerns, questionable authenticity, misleading descriptions, intellectual property issues, insufficient documentation, quality concerns, repeated complaints, or material risks to users or the Platform.
Urgent restrictions may be imposed without advance notice where reasonably necessary.
The Platform is not responsible for anticipated sales or profits lost because of a lawful and justified restriction, to the extent permitted by applicable law.
4. Seller Representations and Warranties
Seller represents and warrants that:
Seller owns the products or has lawful authority to sell them.
Products are genuine, lawful, safe, and accurately described.
Prices, images, specifications, and inventory information are accurate.
Products do not infringe third-party rights.
Seller holds all required licenses and authorizations.
Seller will comply with consumer protection and product safety requirements.
Seller will cooperate with reasonable verification and dispute investigations.
Platform review or approval does not relieve Seller of these obligations.
5. Prohibited and Restricted Products
Seller must not list counterfeit, stolen, unlawful, dangerous, unlicensed, infringing, or otherwise prohibited products.
The Platform may prohibit or restrict categories including weapons, controlled substances, hazardous materials, unauthorized pharmaceuticals, counterfeit branded goods, and regulated goods lacking the necessary approvals.
The Platform may update its restricted-item requirements and request additional permits at any time, subject to applicable law.
6. Product Listings and Intellectual Property
Seller must provide complete, accurate, and non-misleading descriptions, photographs, prices, conditions, and specifications.
Seller grants the Platform a non-exclusive license to display, reproduce, and use authorized product content for listing, fulfillment, promotion, and legitimate Platform operations during the listing and any necessary post-transaction period.
Seller warrants that it possesses the rights necessary to grant this license.
7. Inventory, Pricing, and Fulfillment
Seller must keep inventory and pricing information accurate and fulfill accepted orders within the advertised timeframes.
Seller is responsible for losses or costs attributable to its verified fulfillment errors, including incorrect products, unauthorized substitutions, defective goods, and unjustified delays, subject to applicable law.
The Platform may cancel orders that cannot lawfully or practically be fulfilled and arrange applicable refunds.
8. Items Not as Described — Dispute Reporting
Buyers are requested to report materially misdescribed, incorrect, damaged, or materially incomplete products within 24 hours of confirmed delivery through the Platform’s designated channels.
Maksoob Select may investigate the claim and determine the appropriate operational remedy, including a return, replacement, or refund.
This standard reporting period does not extinguish statutory claims or remedies that cannot lawfully be restricted.
9. Voluntary Change-of-Mind Returns
For products that are correctly supplied and conform to their descriptions, Buyers may request a voluntary return within 24 hours of confirmed delivery.
Approval is subject to the product being unused, undamaged, and returned in its original condition, original packaging, and with all accessories.
Returns remain subject to product-specific restrictions and mandatory consumer rights.
10. Delivery and Return Shipping Liability
Seller Fault: If the dispute establishes that Seller is responsible, Seller bears all applicable, reasonable, and lawful costs, including:
Original outbound delivery fees.
Return shipping fees.
Approved refunds.
Nonrecoverable payment or refund processing costs attributable to Seller's error, where legally recoverable.
Buyer Change of Mind: Where the product is correctly supplied and no Seller fault is established, Buyer bears the original delivery and return shipping charges, together with previously disclosed lawful processing costs.
Disputed Responsibility: The Platform may review delivery records, product photographs, invoices, communications, and other evidence before allocating responsibility.
No provision overrides mandatory consumer protection requirements.
11. Dispute Investigation and Resolution
The Platform may investigate complaints, request evidence, examine transaction records, and communicate with the relevant parties.
It may temporarily withhold funds associated with an unresolved dispute and issue an operational determination based on the available evidence, its policies, and applicable law.
Seller may request a further review and provide additional relevant evidence within the period stated in the decision notice.
Platform determinations do not prevent access to competent courts or regulatory authorities.
12. Payment Holding Period
Funds from each successfully paid sale are subject to a minimum holding period of 10 calendar days from confirmed payment.
Funds become eligible for settlement only when:
The 10-day period has passed.
Delivery has been confirmed and the standard 24-hour reporting period has elapsed.
No unresolved dispute or refund request prevents release.
Relevant fees and obligations have been reconciled.
A disputed amount may remain reserved beyond the standard period where reasonably necessary and legally permitted.
13. Monthly Seller Settlements
Seller balances are settled once per calendar month.
Eligible funds accrue for settlement at the end of each calendar month and are transferred within 14 calendar days after month-end.
Transactions that have not met the eligibility conditions at month-end are carried forward to a subsequent settlement period.
Disputed amounts are excluded until the relevant dispute is resolved.
Expiry of the 10-day holding period does not create an entitlement to an immediate transfer.
Payment-provider or banking delays outside the Platform's control may affect the final receipt date, provided the Platform executes eligible transfers within its contractual timeframe.
14. Fees, Commissions, and Deductions
Seller's net settlement is calculated as:
Net Settlement = Eligible Gross Sales − Agreed Platform Commissions − Refunds − Applicable Fees − Lawful Adjustments.
Actual bank or payment transfer fees are deducted from the final amount payable to Seller.
The Platform will provide a settlement statement identifying applicable deductions.
Commission rates must be established through the applicable agreed fee schedule. New commissions will not apply retroactively to completed transactions except under a lawful agreement.
15. Negative Balances and Recovery of Amounts
If Seller owes refunds, chargebacks, fees, or other contractual amounts exceeding its available balance, the Platform may, to the extent permitted by law:
Deduct amounts from current or future settlements.
Apply lawful set-off.
Request direct repayment.
Restrict additional selling activity where justified.
Temporarily withhold release of goods lawfully in its possession where authorized by law or an enforceable agreement.
Pursue lawful debt-recovery remedies.
This provision does not authorize seizure, sale, or disposal of Seller's inventory without a valid legal basis.
16. Monitoring, Restrictions, and Termination
The Platform may review Seller performance, complaint rates, cancellations, fulfillment records, product quality, and compliance history.
It may issue warnings, request corrective measures, remove listings, restrict activity, suspend accounts, or terminate the contractual relationship.
Immediate action may be taken in cases involving suspected fraud, unlawful goods, serious safety risks, or urgent legal requirements.
Measures must be lawful and proportionate to the relevant circumstances.
17. External Marketplaces and Reselling
Maksoob Select does not guarantee that any product is eligible for listing or resale on eBay, Amazon, or other third-party marketplaces.
Seller is responsible for compliance with applicable marketplace policies, import/export requirements, intellectual property laws, and destination-country rules when conducting business outside Maksoob Select.
References to third-party marketplaces do not establish affiliation, sponsorship, or endorsement.
18. Indemnification and Limitation of Liability
Seller shall indemnify the Jordan Operator against substantiated direct losses, third-party claims, and reasonable legal expenses resulting from Seller's contractual breaches, unlawful products, infringement, misrepresentation, or regulatory violations, to the extent permitted by law.
The Platform is not liable for speculative profits or business opportunities lost because of legitimate enforcement actions.
Nothing excludes liability for fraud, gross negligence, or other obligations that cannot lawfully be excluded.
19. Confidentiality, Data, Taxes, and Amendments
Seller must protect Buyer information and use it solely for authorized order fulfillment and other lawful purposes.
Seller is responsible for its applicable tax obligations, registrations, permits, and regulatory compliance.
The Platform may amend this Agreement for legitimate business or regulatory reasons, with reasonable advance notice of material amendments. Previously accrued rights remain subject to the applicable terms and law.
20. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Hashemite Kingdom of Jordan, without prejudice to applicable mandatory legal protections.
Disputes shall be submitted to the competent Jordanian courts unless mandatory jurisdictional rules require otherwise.
21. Electronic Acceptance
Seller acknowledges having read and understood this Agreement.
Express electronic acceptance through the Platform's approved acceptance mechanism or a valid signature constitutes agreement to these terms in accordance with applicable law.
